Robert Emerson concentrates his practice on general corporate law, including merger and acquisition issues, and securities law. Mr. Emerson advises publicly traded and privately held companies and individuals on securities offerings, mergers and acquisitions, financing and general corporate matters in a diverse array of industries.

Work for Clients
Bob's practice is focused on initial and other offering transactions, negotiation and structuring acquisition and divestitures and private placements. Mr. Emerson has represented numerous private companies in multi-state capital-raising transactions in accordance with federal and state securities laws, with offerings typically in the $500,000 to $5 million range and involving various types of securities including preferred stock, common stock, warrants, and debt instruments.

Specifically, he assisted in a $26 million refinancing for a noted Rhode Island company as well as a $29 million IPO for an Internet company and the subsequent sale of $5 million of its preferred stock. Most recently, he was part of the team that served as counsel for the sellers of a leading manufacturer of innovative and energy-efficient drying solutions for commercial laundry markets worldwide in a $50 million sale to a leading private equity firm.

Professional Activities
He is a member of the Rhode Island and Massachusetts Bar Association, and served as the Rhode Island Committee on Business Organization's liaison to the ABA Business Law Section. He is a member of the Rhode Island Avian Records commitee.
