Since 1996, Robert Emerson has been advising Duffy & Sweeney clients on a wide variety of topics including general corporate matters, federal and state securities laws, mergers and acquisitions, private placements, financing transactions, employee incentive plans and real estate purchasing and leasing. More recently, Bob’s practice has expanded into the tax and estate planning arena for business principals and procurement contracting for a major financial institution.

  • Designing a capital raising transaction to comply with Regulation D or blue sky laws.
  • Negotiating indemnities and liability limits in purchase or merger transactions.
  • Creating a QSST to enable stock gifting by the principal of an S-Corporation.
  • Structuring an employment agreement or stock plan to comply with Rule 409A.
