Congratulations to Andrew Blais who recently authored an article for the Rhode Island Bar Journal on Rhode Island’s Door-Closing Statues.
Rhode Island, like many other states, enforces “door-closing” statutes that bar out-of-state business entities from pursuing claims in state courts unless they register with the Secretary of State or obtain a certificate of authority. Rhode Island General Laws § 7-16-54(a) requires any foreign limited liability company transacting business in the state to register before initiating legal action.
